Terms & Conditions
Effective from: 19 October 2026
These general terms and conditions (the “Terms”) govern the provision of digital services – in particular website development, digital marketing, custom module and software programming, and AI automation (AI agents and automated workflows) – by the provider to its clients. They apply to business clients (B2B) and to consumers (B2C); provisions that apply to only one group are expressly marked. This English version is a translation; in case of any conflict, the Slovak version prevails.

2. Definitions
- Client – a person who orders a service from the provider.
- Consumer – a natural person who, when concluding and performing the contract, does not act within their trade, business, employment or profession.
- Business client (B2B) – a client acting within their business; the relationship is governed by the Slovak Commercial Code (Act No. 513/1991 Coll.).
- Service / work – the agreed deliverable (e.g. a website, design, code, module, AI agent or automated workflow, marketing campaign set-up, consultation).
- Quote – a price quote or proposed scope of work sent by the provider (usually by email).
3. Conclusion of the contract
- The contract is concluded when the client confirms the quote (by email or signature) or signs a separate contract. Submitting the contact form on the website is an enquiry, not an order.
- A quote is valid for 14 days from the date it is sent unless stated otherwise. Scope, price, deadlines and the number of revision rounds are set out in the quote; if the quote and these Terms differ, the quote or the separate contract prevails.
- Contracts are concluded in Slovak (with foreign clients also in English). The provider keeps the quote and its confirmation and makes them available to the client on request.
- For distance contracts with consumers (email, phone, web), the provider gives the pre-contractual information required by Act No. 108/2024 Coll. on Consumer Protection and sends a confirmation of the contract on a durable medium (email).
4. Price and payment
- Prices are in euros. The Provider is not a VAT payer. All prices are final.
- Before work starts, the provider may invoice a deposit in the amount agreed in the quote or contract. If a deposit has been agreed, work starts once it has been received. The balance is invoiced on delivery or, for longer projects, per agreed milestone.
- Invoices are payable within 7 days of issue by bank transfer to the account stated on the invoice.
- Recurring services (e.g. website maintenance, campaign management) are invoiced monthly in advance unless agreed otherwise. Advertising budgets (e.g. Google Ads, Meta) are paid by the client directly to the advertising platform and are not part of the provider’s fee.
- If payment is late, the provider may suspend work until payment is made; agreed deadlines are extended accordingly. The provider is entitled to statutory late-payment interest (B2B: Commercial Code and Government Regulation No. 21/2013 Coll.; B2C: Civil Code and Government Regulation No. 87/1995 Coll.).
- Work beyond the agreed scope (additional requirements, extra revision rounds, changes after approval) is charged as agreed in advance – based on a quote approved by the client before such work starts. Without such approval, the provider does not carry out work beyond the agreed scope.
5. Deadlines, delivery and acceptance
- Deadlines are set out in the quote and start running once the deposit (if agreed) has been received and the materials under Article 7 have been delivered.
- The provider delivers the work, usually by making it available at a staging address, sending files or publishing it on the client’s domain, and notifies the client by email.
- The client reviews the work within the period agreed for the project in the quote or contract or, if no period has been agreed, within 7 days of delivery. Within this period the client either approves the work or reports specific, substantiated defects. If the client does not report any substantiated defects within this period, or starts using the work (e.g. publishes the website), the work is deemed accepted. This does not affect a consumer’s statutory rights for defects.
- Minor defects that do not prevent use of the work are not a reason to refuse acceptance; the provider fixes them within a reasonable time.
6. Revision rounds
- The price includes 2 rounds of feedback (revisions) at no extra charge for each stage, unless the quote states otherwise (e.g. design proposal, finished website). One round = one consolidated list of comments sent at once.
- Changing the brief after a stage has been approved (e.g. a new design after the proposal was approved) is not a revision but a new requirement under Article 4(6).
7. Client cooperation
- The client delivers materials in time (texts, logos, photos, access to domain, hosting, accounts, etc.) and gives feedback on proposals, as a rule within 7 days of receiving them.
- The client is responsible for ensuring that the materials supplied do not infringe third-party rights (copyright, trademarks, personal data) and that their content is truthful and lawful. The client is responsible for content they add to the work themselves.
- If the client fails to cooperate, deadlines are extended accordingly. If the client fails to cooperate for more than 30 days after a reminder, the provider may invoice the work done so far and suspend the project or withdraw from the contract.
8. Consumer’s right of withdrawal (B2C only)
- A consumer may withdraw from a distance contract without giving any reason within 14 days of the day the contract was concluded.
- To exercise this right, a clear statement sent before the deadline is sufficient, e.g. by email to info [at] syntai [dot] studio or by post to the provider’s address. The consumer may use the model withdrawal form at the end of these Terms, but this is not obligatory.
- After withdrawal, the provider refunds all payments received within 14 days of receiving the notice of withdrawal, using the same means of payment, unless agreed otherwise.
- Starting the service before the withdrawal period ends: The provider starts providing the service before the withdrawal period expires only at the consumer’s express request (e.g. by including in the quote confirmation: “I request that the provision of the service begins before the withdrawal period expires and I acknowledge that I will lose my right of withdrawal once the service has been fully provided.”).
- If the consumer withdraws after the service has started, they pay an amount proportionate to what has actually been provided up to the date the withdrawal is received, in relation to the total price.
- If, at the consumer’s request, the service has been fully provided before the withdrawal period expires, the consumer loses the right of withdrawal.
- Details are governed by Act No. 108/2024 Coll. on Consumer Protection.
9. Intellectual property and licence
- The work may be protected by copyright under Act No. 185/2015 Coll. (Copyright Act). Copyright remains with the provider.
- Upon full payment of the price, the provider grants the client a licence to use the work to the extent agreed for the project in the contract or quote (order). Unless agreed otherwise, it is a non-exclusive licence to use the work for the agreed purpose, unlimited in time and territory, including the right to modify the work (also through third parties). The licence takes effect upon full payment of the price. Until payment, the client may use the work for review only.
- The work may include third-party components (e.g. WordPress and plugins under the GPL, fonts under the SIL OFL, stock photos). These are subject to their own licence terms; the provider will point out any significant restrictions.
- Tools, templates, code libraries and methods the provider uses across projects remain the provider’s property. The client receives a licence to use them as part of the work.
- Portfolio: The provider may show the work, screenshots of it and the client’s name in its portfolio and on social media unless the client requests otherwise in writing, before or after concluding the contract. Confidential client information is never published.
10. Third-party services, domain and hosting
- Domains, web hosting, mailboxes, paid plugins, licences and advertising accounts are, as a rule, ordered and paid for by the client directly from their providers and in the client’s own name. If the provider arranges them, they are charged to the client at the price stated in the quote.
- The provider is not responsible for the availability, outages, price changes or terms of third-party services (hosting, platforms, advertising systems, APIs). Those services are subject to their providers’ terms.
- After payment, the provider hands over to the client all access credentials it manages for the work.
- Regular updates, backups and security maintenance are not part of a one-off website build unless agreed as a separate service.
11. Warranty for defects and complaints
- The provider warrants that, on delivery, the work corresponds to the agreed scope and works in current versions of common browsers.
- Consumers have statutory rights for defects under the Slovak Civil Code (Act No. 40/1964 Coll.), including the provisions on digital content and digital services; a defect may be claimed within the statutory period of 24 months from delivery, unless the law provides otherwise. Business clients must report apparent defects on acceptance of the work (within the period under Article 5(3)) and hidden defects without undue delay after discovering them, and in any case no later than 6 months after acceptance of the work; defects reported later will not be considered.
- Complaints are made by email to info [at] syntai [dot] studio with a description of the defect (what does not work, where, how it shows, ideally with a screenshot). The provider confirms receipt, handles the complaint without undue delay and within 30 days at the latest, and informs the client of the outcome by email. Defects are primarily remedied by free repair.
- The following are not defects in particular: changes to the work made by the client or third parties, errors caused by updates or outages of third-party services (hosting, plugins, browsers) after delivery, errors in materials supplied by the client, or changed requirements after acceptance.
12. Liability for damage (B2B only)
- The provider is liable for damage caused by breach of its obligations under the Commercial Code. To the extent permitted by law, the provider’s total liability to a business client is limited to the price paid for the service concerned, and the provider is not liable for lost profit, loss of data the client did not back up, or indirect damage.
- This limitation does not apply to damage caused intentionally or by gross negligence.
- The provider does not guarantee specific business results (e.g. traffic, orders, search rankings) unless it has expressly committed to them in writing.
13. Termination
- A contract for recurring services may be terminated by either party by email with a notice period of 1 month, starting on the first day of the month following delivery of the notice.
- If a one-off project is terminated early for reasons on the client’s side, the provider is entitled to payment for the work done up to termination; any deposit paid is credited. Consumer rights under Article 8 are not affected.
- Either party may withdraw from the contract in case of a material breach by the other party that is not remedied within a reasonable period after written notice.
14. Alternative dispute resolution (consumers)
- If a consumer is not satisfied with how a complaint was handled, or believes the provider has violated their rights, they may ask the provider for redress (by email to info [at] syntai [dot] studio).
- If the provider rejects the request or does not reply within 30 days of it being sent, the consumer may file a proposal for alternative dispute resolution under Act No. 391/2015 Coll. The competent body is the Slovak Trade Inspection (Slovenská obchodná inšpekcia), Central Inspectorate, Department of International Relations and Alternative Consumer Dispute Resolution, Bajkalská 21/A, P. O. BOX 29, 827 99 Bratislava 27, Slovakia, email: ars [at] soi [dot] sk, adr [at] soi [dot] sk, phone +421 2 58 27 21 23, www.soi.sk. The consumer may also contact another authorised body listed by the Slovak Ministry of Economy. Proposals can be filed in Slovak or English.
- Alternative dispute resolution is free of charge for the consumer. A proposal can be filed within one year of the rejection or of the 30-day period expiring without reply. The right to go to court is not affected.
15. Personal data
I process clients’ personal data in accordance with Regulation (EU) 2016/679 (GDPR) and Slovak Act No. 18/2018 Coll. Details are in the Privacy Policy. Where, as part of a service, I process personal data on the client’s behalf (e.g. maintaining a website with a contact form or an online shop), we will conclude a separate data processing agreement under Article 28 GDPR.
16. Final provisions
- Legal relationships are governed by Slovak law – with businesses in particular by the Commercial Code, with consumers in particular by the Civil Code and Act No. 108/2024 Coll. on Consumer Protection. This choice of law does not deprive consumers of the protection afforded to them by mandatory provisions of the law of their country of habitual residence.
- Disputes with business clients are decided by the competent courts of the Slovak Republic.
- These Terms are effective from 19 October 2026 (date of publication) and apply to the contractual relationship with the client from the conclusion of the contract, i.e. signing the contract or confirming (accepting) the quote or order under Article 3.
- The provider may amend these Terms reasonably; the new version will be published on the website with its effective date. Contracts already concluded remain governed by the version in force when they were concluded, unless the parties agree otherwise.
- If any provision is invalid or unenforceable, the remaining provisions remain in force.
- These Terms are published in Slovak and English. In case of conflict, the Slovak version prevails.
